Major League Football investor breaches contract, pulls $20M away from Lakewood Ranch-based league

LAKEWOOD RANCH — Just days away from starting its free-agent player draft, Major League Football has disclosed that an investor pulled out of a contract that was supposed to bring $20 million to the fledgling league.

On Feb. 5, the Lakewood Ranch-based league filed a Form 8K/A with the Securities and Exchange Commission that details what league officials call a “breach” of the contract.

Frank Murtha, the league’s senior executive vice president, said the expected investment would have given Clairemont Private Investment Group, a Texas company, shares of stock in the league as well as first right of refusal to start an expansion franchise team in Missouri City, Texas.

In a press release issued Monday, league officials said they intend to pursue “legal remedies” against Clairemont and its chairman, Robert Queen Jr. Clairemont’s investment was to be used for the league’s operating expenses and would have been the first of several “other private and institutional investors scheduled to make contributions,” Murtha said.

Commenting on the issue Monday afternoon, Murtha struck a conciliatory tone about the contract dispute. He said league officials are still trying to ink an investment contract with Clairemont.

“He wasn’t the Lone Ranger,” he said of Queen. “We’re still in some discussions with him.”

Clairemont and the eight-team league entered into an initial $15 million securities purchase agreement in September. The parties later canceled that agreement, then inked a new one in October for $20 million. Clairemont officials could not be reached for comment Monday on the issue.

The failure to complete the contract and get Clairemont’s money on time will likely push the start of training camp and league play back a couple weeks, Murtha said. MLFB had initially planned to start its league games at the beginning of April.

Major League Football is scheduled to commence its free agent player draft on Feb. 15. The league has already received about 1,400 signed contracts from potential players looking to take to the field for one of the league’s teams. A set of drafts in January brought eight so-called “franchise players” to the league, as well as hundreds of other players in a territorial draft and a national draft. Each team in the league will start the preseason with 80 players on its roster.

SEC documents show that MLFB’s expenses greatly exceed revenue. In a third-quarter 2015 filing, the league reported bringing in $24,250 of revenue for the six months ended Oct. 31.

Operating expenses far outstripped income, totaling just over $1.8 million for the six-month period, documents show. Overall, MLFB recorded a $2.75 million net loss for the period with the SEC.

Outside of the deal with Clairemont, the league reported in its most recent quarterly filing two sales of stock totaling $150,000 in November.

Another hiccup in the league’s startup took place in December, when Jerry Vainisi, the league’s expected CEO, pulled out of the last stage of finalizing his employment contract. Murtha said Vainisi will likely remain involved with the league, but he did not specify how.

The league relocated its headquarters from Delaware to Lakewood Ranch last year. The Manatee County Commission approved a $200,000-plus incentive grant for MLFB, but the league must meet certain criteria such as creating jobs to get that money.

Well, well, well… what a start to the Fantasy Football 2013 season.

In the “real” NFL, there were 4 safeties in the 1pm games.

Jacksonville actually scored some points even after turning down Tebow and staying with Gabbert! Good call Jags!

Philip Rivers’ passer rating when Chargers were up 28-7 with 10:46 left in 3rd quarter was 134.8 ..Thereafter, it was 0. ZERO.

In the “virtual” world of FF, we had a frickin tie in week 1. How does that even happen with our tiebreaker… ooooohhhhh, no tiebreakers. Congrats to the Clark family for the tie… hmmmmmmmmm, kind of makes you wonder. At least Steve & Erin didn’t tie, although they tried.

Team Gager led off right where they left off. Domination! 164 points leads the week in scoring… Balanced attack. Scary good.

On the flip side of that… Poor Danny. A ZERO and a negative starter. Next week, we think Danny brings his “A” game!

Dre unceremoniously welcomed Mr. Rissler to the league with a beatdown. Welcome wagon has left the station!

Justin & Paulie brawled and Paulie just squeaked out a win. Good stuff from both teams though!

I remember when I first got the call from my girlfriend (who’s now my wife), telling me that I was going to be a father. Her voice cracking, tears brewing, she laid it on me. It was news that would change the course of our lives forever. What the hell was I going to do? All I could think was I was a 23-year-old without a clue about how to raise a kid. I had no job, just a tryout with an NFL team.

At the time, I was chasing a 7-year-old kid’s pie-in-the-sky dream of being a professional football player (a dream that has crushed the hopes of 99 percent of children who have ever attempted it). So I guess you could say I’m one of the lucky ones that I not only hit the genetic lottery, but had people around me who believed in my dream. I had also somehow had the luck and wherewithal to keep my nose clean and do just enough in school to get by. And I had a wonderful woman looking at me with love and support, who must have been wavering back and forth herself. That’s it. That’s all I had.

When my daughter Zeniah arrived, I had a little ball of life staring at me. How could I teach her that hard work separates winning from losing when I leisurely procrastinated my way through life? How could I teach her to dream when I didn’t put everything I had into mine? How could I teach her to be a loving kind human spirit when at the time I was so bitter at life (I had just been passed on by every team in all seven rounds of the NFL draft) that my motto was “turn your back on the world and let them stab.” Hypocrites don’t make good superheroes and that’s what parents are supposed to be … superheroes. So I vowed to unlearn what I thought to be truth and completely humble myself to this experience.

I’ve thought long and hard about the values that I want to try and teach her. I’m sure this list will change as we both grow, but as of now this is what daddy wants his princess to learn from him before she tucks him away into her memory.

1. Happiness. This is probably the most cliché virtue on the list, but the most pivotal to her success. She needs to understand that “success” is a voyage, not an “x” on a map. I believe strongly that smiles are contagious, so I fill my home with as much laughter as possible. I do this in hopes that this mindset bleeds into her heart. You can’t teach happiness, per se, but you can teach perspective and let her see that the situation she is born into is unique and the things she is accustomed to are not everyone’s reality. I grew up in some rough circumstances, but in a very honest and humble way, was content with what I did have because I knew there were others out there that had less than me. This leads into the next thing I need my princess to understand.

2. The value of a dollar. I remember sometimes taking sponge baths as a boy because the water had been turned off, or my mother crying and asking me to go to bed at dinnertime because there was no food. But the most vivid memories I have were things like when my dad let me wear his favorite hat on my 8th birthday while he taught me how to make perfect scrambled eggs (which I would challenge anyone to a cook-off with). Or when my parents wanted to spoil us, we’d go to Blockbuster to pick out a movie and have family movie night. Moments like those I will hold in my memory bank for as long as my blood pumper is pumping. So how do I teach the daughter of a millionaire what money even is? The best way I’ve found for now came up after she asked for a Dora the Explorer video game that cost $34. I explained to her as best I could that daddy and mommy work hard to get these things that we call dollars. If she wanted it, we’d get it for her, but she had to earn it. We told her she had to do “chores” and every time she completed a task we marked a tally on a piece of paper hanging on the fridge. When she got to 34 “chores”, we’d buy the Dora game. She was so excited, and so was I. She really understood and took to the concept of earning and the fact that one chore meant one step closer to getting that game.

Before the season kicks off a month from today in Denver, as the Ravens begin their Super Bowl defense against the Broncos, there will be more news that changes our views on teams.

For now, here are the Shutdown Corner preseason power rankings in case you missed any, from 32 to 1. The preview for each team is linked on the team name.

32. Oakland Raiders
Best-case scenario: Get Jadeveon Clowney, have a franchise player to build around.
31. Jacksonville Jaguars
Can’t win without a quarterback.
30. Arizona Cardinals
Their offense was a question mark even before running backs started getting banged up.
29. Buffalo Bills
It’ll be a productive season if E.J. Manuel shows he’s the clear QB of the future.
28. Cleveland Browns
Can see Browns moving up quickly, but Brandon Weeden’s camp struggles are a concern.

It’s been 15 years since Jared Fogle waltzed into a Subway and ordered his first 6-inch turkey sub — hold the cheese and mayo.
Now he flashes a Subway “black card” for free food, flies first-class and has an estimated net worth of about $15 million.
Not bad for a 35-year-old dad from central Indiana whose only claim to fame is losing a lot of weight eating the chain’s sandwiches.
“I never expected any of this,” Fogle told the Daily News. “I was a business major in college. I thought maybe I’d work for an ad agency or a PR firm.”
Instead he wound up the famous face of Subway’s longest-running campaign — the only adult job the Indianapolis native has ever known.
In the late ’90s at Indiana University, Fogle was all but invisible. Tipping the scale at 425 pounds, he avoided friends and social events to save face, gobbling junk food alone in a dorm room.
“I knew you were supposed to go on dates and go to parties, but because I was so big, I just took myself out of the equation,” says Fogle, who is 6-foot-2 and now weighs 200 pounds. “I didn’t want to allow myself to be made fun of.”

Change began in his junior year, when Fogle moved off campus. In March of 1998, he walked into the Subway that happened to be attached to his off-campus apartment building and grabbed a nutrition brochure.
The Subway diet was his own idea — a 6-inch turkey sub for lunch and a full-length veggie sub for dinner, both meals with a bag of baked chips and a diet soda.

“The big thing was no mayo, no oil, no cheese,” he said. “I did it for 11 months.”
Fogle says he never got sick of eating Subway, but admits he craved pizza and cheeseburgers.
“In the early days, I had to literally hold onto the side of my chair, because if I had gotten up I would have gotten in my car and driven to the drive-thru,” he says.
After three months, Fogle lost 94 pounds. In a year he shed 245 pounds, more than half his original body weight.
News of his transformation spread after his college newspaper published an article about weight loss. The astonishing photos — a trimmed-down Fogle posing with a pair of 60-inch-waist jeans he used to wear — attracted local media and magazines.

After his first national commercial — he has since filmed more than 300 — Subway’s sales shot up 20%. Overall, sales more than tripled to $11.5 billion in 2011, from around $3 billion in 1998, according to Nation’s Restaurant News.
